Terms of Service
Penholder is offered as a hosted, invitation-only beta. These terms govern your access to the site and the service during that period.
1. Agreement
By accessing this site, requesting access, or using the Penholder service (the "Service"), you agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorized to bind it.
2. The Service
Penholder gates AI-agent writes to spreadsheets and, optionally, to your databases behind human approval, with a tamper-evident operation log. The Service is currently a closed beta offered to selected design partners. Features, availability, and these Terms may change during the beta.
3. Eligibility & accounts
You must be able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for your account credentials, and for the activity of principals (human or agent) you configure.
4. Acceptable use
- Don't use the Service to break the law, infringe rights, or handle data you're not permitted to.
- Don't attempt to bypass the approval gate, tamper with the audit log, access another account's data, or probe the Service's security without authorization.
- Don't misuse connectors to reach systems you don't control.
5. Your data & content
As between you and us, you own the data and content you connect to the Service (your spreadsheets, database content, and the writes agents propose on your behalf). You grant us a limited licence to host and process that content solely to provide the Service. We process it under our Privacy Policy and do not use it to train models.
6. Intellectual property
We own the Service, its software, and its underlying engine and design. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during the beta; no other rights are granted.
7. Beta & no warranty
The Service is provided "as is" during the beta, without warranties of any kind, express or implied. It may contain defects and is not guaranteed to be uninterrupted, error-free, or fit for any particular purpose. You are responsible for reviewing what you approve; the approval gate is a control, not a substitute for your judgment.
8. Limitation of liability
To the maximum extent permitted by law, Penholder will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from the beta Service. Nothing in these Terms limits liability that cannot be limited by law.
9. Term & termination
You may stop using the Service at any time. We may suspend or end beta access at our discretion. On termination, we delete or return your connected data on request, subject to legal retention obligations.
10. Changes
We may update these Terms. Material changes will be posted here with a new "last updated" date; continued use after a change means you accept it.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which Penholder is established (to be specified before launch), without regard to conflict-of-laws rules.
